1. Purpose
These Terms of Service (the "Terms") govern access to and use of Skuads (the "Service"), available at https://app.skuads.com, and its related features.
2. Definitions
- Account: an account used to access the Service.
- Workspace: a workspace associated with an organization, client, or site.
- User: any person using the Service.
- Content: data, text, files, media, configurations, statistics, and information provided, uploaded, or generated by the User.
3. Access to the Service
Access requires creating an Account and may require selecting a Workspace.
You agree to:
- provide accurate information;
- keep your credentials confidential;
- promptly notify us of unauthorized use;
- ensure authorized users comply with these Terms.
4. Service description
The Service provides tools to manage and optimize marketing, analytics, and operational activities (depending on configuration), including:
- settings, campaign, and content management;
- dashboards, reporting, and exports;
- social media scheduling and publishing;
- integrations with third-party services (e.g., Google, social platforms, AI, SMS, billing).
We may change the Service (add/remove features) to improve user experience, security, or compliance.
5. Subscriptions, payments, and billing
5.1. Plans and subscription
The Service is available through subscription plans, billed monthly or annually depending on the selected plan. Plan details are visible in the Billing area.
5.2. Payment methods
Payments are processed by Stripe. Card details are entered via Stripe and are not stored by Skuads. The Service may store only non-sensitive references (e.g., card brand, last 4 digits, payment method identifier).
5.3. Billing
Invoices are available as downloadable documents. You are responsible for the accuracy of billing details.
5.4. Payment failure
If a payment fails, some features may be suspended until payment is resolved.
6. Acceptable use
You agree not to:
- use the Service for unlawful or fraudulent purposes;
- interfere with security, availability, or integrity of the Service;
- bypass technical limits or access restrictions;
- transmit content that is illegal, defamatory, hateful, or infringing third-party rights;
- use the Service to send unsolicited communications in violation of applicable law.
7. Third-party data and compliance
When you process customers', prospects', or callers' data through the Service (e.g., SMS, call tracking, recordings/transcriptions, reviews, social content), you are responsible for informing data subjects and obtaining any required authorizations or consent.
You represent that you have a valid legal basis for the processing you initiate through the Service and that you have fulfilled applicable notice and data subject rights obligations.
8. Third-party services and integrations
The Service may integrate with third parties (e.g., payments, connected services, social networks, AI, SMS, analytics). Your use of such services is subject to their own terms and policies. You are responsible for the necessary permissions and compliance.
9. Intellectual property
The Service, its branding, UI, code, databases, and editorial content are protected. Subject to these Terms, Skuads grants you a non-exclusive, non-transferable, revocable license to use the Service.
10. User Content
You retain your rights in your Content. You represent that you have the rights required and that your Content does not violate law or third-party rights. You grant Skuads a worldwide, non-exclusive, limited license for the duration of the Service to host, process, and display Content solely to provide the Service.
11. Confidentiality
Each party agrees to protect the other party's confidential information disclosed in connection with the Service.
12. Security
Skuads implements reasonable security measures. You acknowledge that absolute security does not exist and you agree to follow good practices (strong passwords, MFA if available, access control).
13. Availability
The Service is provided "as is" and may undergo maintenance. Skuads does not guarantee uninterrupted or error-free operation.
14. Support
Support is provided according to the subscription plan and through the channels indicated by Skuads. Response times are indicative.
15. Liability
To the maximum extent permitted by law:
- Skuads is not liable for indirect damages (loss of profit, loss of data, etc.);
- Skuads's total liability is limited to the amounts paid by you in the 3 months preceding the event giving rise to the claim.
16. Termination and suspension
You may stop using the Service at any time. We may suspend or terminate access in case of breach, fraud, security risks, or abusive use.
17. Personal data
Personal data processing is described in the Privacy Policy.
18. Changes
We may update these Terms. If a change is material, we will inform you by appropriate means.
19. Governing law and jurisdiction
These Terms are governed by French law. Any dispute will be submitted to the courts having jurisdiction over the registered office of SKUADS, unless mandatory law provides otherwise.
